Please read these terms carefully before using ClientLight

1. Introduction

These Terms of Service ("Terms") govern your use of the ClientLight service ("Service") operated by Morliia Ltd ("we", "us", or "our"), a company registered in England and Wales.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Service Description

ClientLight is a company due diligence and information service that aggregates publicly available data about UK-registered companies. Our Service helps freelancers, small businesses, and agencies assess potential clients before entering into business relationships.

Important Notice:

  • ClientLight is not a Credit Reference Agency regulated by the Financial Conduct Authority (FCA)
  • Our reports are not credit scores or credit references
  • Information provided is not professional financial, legal, or accounting advice
  • Data is sourced from public registers and may be subject to delays or inaccuracies

2.2 Nature of Service — Information Aggregation Only

ClientLight is an information aggregation and technology platform. We compile and present publicly available data from 65+ UK government registers, regulatory databases, and public records to support your independent decision-making processes.

ClientLight does not:

  • Perform Anti-Money Laundering (AML), Know Your Customer (KYC), Know Your Business (KYB), or Customer Due Diligence (CDD) on your behalf
  • Act as a regulated service provider under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 ("MLR 2017")
  • Provide third-party reliance within the meaning of Regulation 39 of the MLR 2017
  • Certify, verify, or validate the identity, legitimacy, or compliance status of any company
  • Replace the obligation of regulated entities to conduct their own due diligence as required by their supervisory body

If you are a regulated entity (e.g., a firm supervised by the FCA, SRA, HMRC, or other supervisory body for AML purposes), you remain solely responsible for meeting your own regulatory obligations. ClientLight provides data and tools to support — not substitute for — your compliance processes.

3. Eligibility

To use our Service, you must:

  • Be at least 18 years old
  • Be a resident of the United Kingdom or have a legitimate business interest in UK companies
  • Have the legal authority to enter into these Terms
  • Provide accurate and complete registration information

4. Account Terms

When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Not share your account with others or allow multiple people to use a single account
  • Notify us immediately of any unauthorised access to your account
  • Accept responsibility for all activities that occur under your account

5. Subscription and Payment

5.1 Free Tier

The free tier provides limited access to basic company checks. Usage limits apply and may be changed at our discretion.

5.2 Paid Subscriptions

Paid subscriptions (Pro) are billed in advance on a monthly or annual basis. Prices are displayed on our pricing page and are subject to change with 30 days' notice.

5.3 Payment Processing

Payments are processed securely by Stripe. By providing payment details, you authorise us to charge the applicable fees. You are responsible for any taxes applicable in your jurisdiction.

5.4 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • You will retain access until the end of your current billing period
  • No partial refunds are provided for unused portions of a billing period
  • Your account will revert to the free tier after the subscription ends

5.5 Refund Policy

Due to the immediate delivery of digital services and data, subscriptions are generally non-refundable. We may, at our sole discretion, offer refunds in exceptional circumstances.

6. Acceptable Use

You agree not to:

  • Resell, redistribute, or commercially exploit our data without written permission
  • Use automated tools, bots, or scripts to access the Service (scraping)
  • Attempt to bypass usage limits or access controls
  • Use the Service for any illegal purpose or to facilitate illegal activities
  • Harass, threaten, or defame any individual or company based on our reports
  • Use the Service to make decisions that discriminate unlawfully
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorised access to any part of the Service
  • Misrepresent your identity or affiliation

7. Intellectual Property

The Service, including its design, features, and content (excluding third-party data), is owned by Morliia Ltd and protected by intellectual property laws. You may not copy, modify, or create derivative works without our permission.

Company data displayed in reports is sourced from public registers and remains the property of the respective data providers (e.g., Companies House, Crown copyright).

8. Data Sources & Attribution

ClientLight aggregates data from the following public and third-party sources:

8.1 Crown Copyright Sources

The following data sources contain public sector information licensed under the Open Government Licence v3.0. Crown Copyright applies:

  • Companies House - Company registration, officers, filing history, charges, and persons with significant control
  • HM Land Registry - Property ownership and title information
  • The Gazette - Official public notices including insolvency notices
  • Insolvency Service - Individual insolvency register data
  • Contracts Finder - Government contract awards
  • HMRC - VAT registration verification
  • Environment Agency - Environmental permits and compliance data
  • DVSA - Operator licensing information
  • Ofsted - Education and childcare inspection data
  • Health and Safety Executive (HSE) - Health and safety prosecutions and notices
  • Information Commissioner's Office (ICO) - Data protection registration

8.2 Regulatory Body Sources

Data from the following regulatory bodies is used in accordance with their public register terms:

  • Financial Conduct Authority (FCA) - Financial services authorisation status
  • Prudential Regulation Authority (PRA) - Banking and insurance regulation
  • Solicitors Regulation Authority (SRA) - Legal services regulation
  • Care Quality Commission (CQC) - Health and social care registration
  • Charity Commission - Charity registration and accounts
  • Gambling Commission - Gambling licences
  • Ofgem - Energy supplier licensing
  • Financial Ombudsman Service - Complaint statistics
  • Legal Ombudsman - Legal complaint data

8.3 Industry Certification Sources

  • Gas Safe Register - Gas engineer registration
  • TrustMark - Government-endorsed tradesperson scheme
  • MCS (Microgeneration Certification Scheme) - Renewable energy certification
  • Architects Registration Board (ARB) - Architect registration

8.4 Third-Party Data Sources

  • UK Sanctions List (FCDO) - Screening against OFSI-designated entities under Open Government Licence v3.0
  • Registry Trust (via outbound link to trustonline.org.uk) - County Court Judgment records
  • Court records - Published case law and tribunal decisions
  • Company websites - Domain and website verification
  • Tavily Search API - Web search results used for adverse media screening, social media discovery, and supplementary context for regulatory findings. Results are attributed to their original sources and presented as supplementary context only.

8.5 Reporting Requirements Data

  • Modern Slavery Registry - Modern slavery statements
  • Gender Pay Gap Service - Gender pay gap reports
  • Advertising Standards Authority (ASA) - Upheld advertising rulings

8.6 Data Collection and Analysis Methodology

ClientLight aggregates data from 65+ checks across publicly available sources using automated processes including:

  • API Integration: We query official government APIs (Companies House, HMRC, FCA Register, etc.) to retrieve publicly available company information.
  • Public Register Searches: We search publicly accessible registers and databases maintained by UK government bodies and regulatory authorities.
  • Web Analysis: We analyse publicly accessible company websites and web presences to assess online legitimacy indicators.
  • News Monitoring: We search major UK news sources for relevant coverage. Results are filtered through multi-signal validation to minimise false positives. Only articles from verified, reputable UK news sources that meet our confidence threshold are included.
  • Risk Analysis: Our proprietary algorithms analyse aggregated data to produce risk indicators. These algorithms apply weighted scoring across multiple categories including company age, filing compliance, governance, and financial position. Risk indicators represent statistical assessments based on available public data, not statements of fact about a company's character, creditworthiness, or future performance.
  • Data Freshness: Company data is typically refreshed every 4-24 hours. Cached data may not reflect changes made at source since the last refresh. We recommend verifying time-sensitive information directly with the original source.

All data displayed in ClientLight reports is sourced from publicly available information. We do not create, originate, or verify the underlying data — we aggregate, analyse, and present it. The accuracy of our reports depends on the accuracy of the source data.

8.7 Algorithmic and AI-Generated Content

Certain elements of our reports are generated through automated analysis, including but not limited to: risk scores, engagement recommendations, adverse media categorisation, and supplementary context summaries for sanctions matches. These outputs are statistical assessments based on available data and should not be treated as statements of fact. AI-generated summaries are clearly labelled where they appear in reports.

Important Disclaimers - Please Read Carefully:

  • Information Only: Our reports are provided for informational purposes only. They are not and should not be construed as professional advice of any kind, including but not limited to financial, legal, accounting, tax, or business advice.
  • Not a Credit Reference Agency: ClientLight is not a Credit Reference Agency (CRA) as defined by the Consumer Credit Act 1974. We are not regulated by the Financial Conduct Authority (FCA) for credit reference activities. We do not provide credit scores, credit references, or credit reports, and we do not report information to credit bureaus.
  • Insights Are Aggregated Opinions: Any risk indicators, recommendations, or assessments shown in our reports are derived from aggregating publicly available data from 65+ checks and sources. They represent our interpretation of that data, not statements of fact. They should not be relied upon as the sole basis for any decision.
  • No Guarantee of Accuracy: While we strive for accuracy, data is sourced from third-party public registers and may contain errors, omissions, delays, or inaccuracies. Data is typically refreshed every 4-24 hours and may not reflect the most recent changes. We make no warranty that information is complete, current, or error-free.
  • Independent Verification Required: You should independently verify any information obtained through our Service before relying on it for business decisions. We recommend cross-referencing data with original sources (e.g., Companies House directly).
  • No Duty of Care: We do not owe you a duty of care in relation to the information provided. No adviser-client relationship exists between you and Morliia Ltd.
  • Seek Professional Advice: For matters requiring professional expertise, including significant business decisions, credit decisions, due diligence for investments, or legal matters, you should consult appropriately qualified professionals such as solicitors, accountants, or FCA-regulated financial advisers.
  • "As Is" Service: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Automated Analysis: Risk scores, recommendations, and categorisations are generated by algorithms analysing publicly available data. They reflect statistical patterns, not verified facts. AI-generated summaries of news and sanctions context are supplementary and may not reflect the full picture.

9.9 Statistical Assessments, Not Statements of Fact

All risk scores, risk levels, red flags, and findings displayed in our reports are statistical assessments derived from algorithmic analysis of publicly available data. They are not statements of fact about any company's character, reputation, creditworthiness, trading ability, or likelihood of future performance. A "notable finding" or elevated risk indicator does not mean the company is engaged in wrongdoing — it means our algorithm has identified a data pattern that may warrant further investigation based on the specific public records available at the time of the check.

9.10 Source Data Responsibility

ClientLight does not create or originate the data displayed in reports. We aggregate data from third-party sources including government registers, regulatory databases, and public records. We are not responsible for errors, omissions, or delays in source data. If source data changes, our reports will reflect those changes at the next data refresh cycle.

9.11 No Endorsement or Recommendation

The inclusion or exclusion of any company in search results, reports, or monitoring does not constitute an endorsement, recommendation, or assessment of that company by Morliia Ltd. Our service provides information to assist your own independent analysis and decision-making.

9.12 No Regulated Activity or Third-Party Reliance

ClientLight does not carry out any activity that requires authorisation or registration by the Financial Conduct Authority (FCA), Prudential Regulation Authority (PRA), HMRC (as an AML supervisory body), or any other UK regulatory body.

Our reports do not constitute "customer due diligence measures" within the meaning of Regulation 28 of the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (MLR 2017). You may not rely on ClientLight reports as a substitute for conducting your own CDD, Enhanced Due Diligence (EDD), or Simplified Due Diligence (SDD) as required by the MLR 2017 or any other applicable regulation.

ClientLight does not offer "third-party reliance" as defined in Regulation 39 of the MLR 2017. Regulated entities may not treat ClientLight as a third party for the purposes of that regulation. You remain the party responsible for applying CDD measures and must retain your own evidence of compliance.

9.13 User Compliance Responsibilities

You are solely responsible for:

  • Determining whether any regulatory obligations (including AML, KYC, KYB, CDD, or sanctions screening requirements) apply to your business or professional activities
  • Conducting your own compliance processes in accordance with applicable laws and regulations, including but not limited to the MLR 2017, Proceeds of Crime Act 2002, Terrorism Act 2000, and Sanctions and Anti-Money Laundering Act 2018
  • Making your own independent assessment of any data, risk indicators, or findings presented in ClientLight reports
  • Maintaining your own compliance records and documentation as required by your supervisory body
  • Seeking independent legal advice where appropriate regarding your regulatory obligations

ClientLight reports may be used as one component of a broader compliance process, but they must not be your sole or primary basis for satisfying regulatory requirements.

9.14 Sanctions Screening Limitations

ClientLight screens company names, officer names, and persons with significant control against the UK Sanctions List (maintained by FCDO/OFSI) using automated name-matching algorithms. This screening:

  • Is based on publicly available data from the FCDO Consolidated List
  • Uses automated fuzzy matching that may produce false positive matches
  • Does not constitute a definitive sanctions determination
  • Does not replace the obligation of obliged entities to conduct their own sanctions screening using appropriate systems and controls as required by the Office of Financial Sanctions Implementation (OFSI)
  • May not detect all sanctioned entities, particularly where names have been transliterated, abbreviated, or where aliases are not publicly listed

If a potential sanctions match is identified, you must conduct your own independent verification before taking any action. A match indicator in a ClientLight report is a prompt for further investigation, not a determination of sanctions status.

9.15 Report Retention and Audit Trail

ClientLight generates reports on a point-in-time basis using data available at the time of the check. Reports reflect source data as of their generation date and are not updated retrospectively. While we endeavour to retain report data for a minimum of 5 years to support users' record-keeping obligations under the MLR 2017 and other regulations, we do not guarantee perpetual availability of historical reports. Users who require reports for compliance record-keeping should download and retain their own copies of PDF reports at the time of generation. Each report includes a unique Report ID and generation timestamp. These can be used to verify the provenance of a report if questions arise during regulatory audits or inspections.

By using our Service, you acknowledge that you have read, understood, and agree to these disclaimers. If you do not agree, you must not use our Service.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Our total liability for any claims arising from your use of the Service shall not exceed the total amount paid by you to us in the 12 months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • We are not liable for any business decisions you make based on our reports, whether or not those decisions result in financial loss.
  • We are not liable for the actions or creditworthiness of any company featured in our reports.

10.5 Explicit Exclusions

Without limiting the above, Morliia Ltd shall have no liability whatsoever for:

  • Any loss, damage, or harm arising from a company receiving a risk score, risk level, finding, or assessment in any ClientLight report;
  • Any business decision made or not made in reliance on information in our reports;
  • Any inaccuracy, delay, or omission in data sourced from third-party registers and databases;
  • Any failure of our algorithms to identify a risk factor, or any identification of a risk factor that proves to be a false positive;
  • Any reputational impact to a company arising from information displayed in our reports, where that information accurately reflects publicly available source data at the time of the check.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Morliia Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content you submit or transmit through the Service
  • Any failure by you to comply with your own regulatory obligations, including AML, KYC, KYB, or CDD requirements, regardless of whether you used ClientLight reports as part of your compliance process
  • Any reliance on ClientLight reports as a substitute for independent due diligence, professional advice, or regulated compliance activities
  • Any claims by third parties arising from your use or interpretation of ClientLight reports in connection with compliance, regulatory, or legal proceedings
  • Any sanctions violations, regulatory enforcement actions, or penalties arising from your reliance on ClientLight screening results without independent verification

12. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You breach these Terms
  • We suspect fraudulent, abusive, or illegal activity
  • Required by law or regulatory authority
  • We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive (including disclaimers, limitations of liability, and indemnification).

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Dispute Resolution

14.1 Data Accuracy Disputes

If you believe any information displayed in a ClientLight report about your company is inaccurate, you may submit a dispute by emailing disputes@clientlight.co.uk with:

  • Your company name and Companies House number
  • The specific data you believe is inaccurate
  • Evidence supporting your correction (e.g., updated Companies House filing, regulatory confirmation)

We will investigate disputes within 14 business days. Where we verify that source data has been updated, we will refresh the affected report. Where the data accurately reflects the source, we will inform you of the relevant source so you can seek correction there.

14.2 General Disputes

For any dispute arising from or relating to these Terms:

  • The parties shall first attempt to resolve the dispute through good faith negotiation for a period of 30 days from written notice of the dispute.
  • If unresolved after 30 days, either party may commence proceedings in the courts of England and Wales.

14.3 Equitable Relief

Nothing in this section prevents either party from seeking injunctive or other equitable relief where necessary to protect their rights.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Morliia Ltd regarding the Service.
